Terms of Service

These Terms & Conditions (the “Terms” or “Agreement”) govern the use of the website available at www.revpack.co (the “Website”) and constitute a legally binding agreement between you (the “User”, “you” or “your”) and the operator of the Website (the “Operator”, “we”, “us” or “our”).

Please read these Terms carefully before using the Website. By accessing or using the Website you confirm that you have read, understood and agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Website.

Important: These Terms apply solely to your use of the Website. They do not by themselves constitute an offer to provide, or an agreement to receive, any of the commercial services described on the Website (including, without limitation, lead generation and revenue operations services). Any such services are governed exclusively by a separate written agreement entered into between us and the relevant client.

2. Definitions

For the purposes of these Terms, the following definitions apply:

  1. “Content” means all materials made available on the Website, including text, articles, blog posts, graphics, images, logos, videos, downloadable resources and any other materials.
  2. “Services” means the informational and online services made available through the Website itself (such as access to Content and the contact form). For the avoidance of doubt, the term “Services” as used in these Terms does not include any commercial services we may offer to clients under separate agreements.
  3. “User” means any individual or legal entity accessing or using the Website, regardless of whether they are a current or prospective client.

3. Acceptance of the Terms

By accessing or using the Website you represent that:

  1. you have the legal capacity, authority and right to enter into and be bound by these Terms;
  2. you are using the Website in a business capacity (the Website and the commercial services we offer are intended for business users only);
  3. you will comply with these Terms and with all applicable laws and regulations.

If you are accessing the Website on behalf of a legal entity, you represent and warrant that you are authorised to bind that entity to these Terms.

Nothing in these Terms grants you any right, title or interest in any of our intellectual property. You may not use our intellectual property to promote any product or service, or in any other way, without our prior written consent.

You are permitted to view the Website on your screen and to print or download Content for your own internal, non-commercial reference, provided that you do not modify it and that you preserve all copyright and other proprietary notices.

6. Third-Party Links and Resources

The Website may contain links to third-party websites, resources or services that are not owned or controlled by us. We provide such links for your convenience only. We do not endorse and are not responsible for the content, products, services, privacy practices or other policies of any third-party websites or services. You access third-party websites at your own risk and subject to their own terms and policies.

  4. cost of procurement of substitute services or content;

regardless of whether such damages were foreseeable or whether we were advised of the possibility of such damages.

Nothing in these Terms shall exclude or limit our liability where such exclusion or limitation is not permitted under applicable law (including, in particular, liability for damage caused intentionally).

You acknowledge that the limitations of liability set out in this section reflect a fair allocation of risk in light of the fact that the Website is made available free of charge and for general informational purposes only.

10. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms, or for any unavailability of the Website, due to causes beyond our reasonable control, including but not limited to acts of God, war, civil unrest, strikes, internet or hosting service provider failures, large-scale cyber attacks or governmental actions.

11. Your Indemnity

You agree to indemnify, defend and hold harmless the Operator, its affiliates and their respective directors, officers, employees, agents and representatives from and against any and all claims, liabilities, damages, losses, costs and expenses (including reasonable legal fees) arising out of or in connection with: (a) your breach of these Terms; (b) your misuse of the Website or any Content; or (c) your violation of any applicable law or of any third-party rights.

12. Personal Data and Cookies

We process personal data of Users in accordance with applicable data protection laws, including Regulation (EU) 2016/679 (the GDPR) and the Polish Personal Data Protection Act of 10 May 2018. Information about the categories of personal data we process, the purposes and legal bases of processing, recipients of the data, retention periods, your rights and our use of cookies and similar technologies is set out in our Privacy Policy and Cookie Policy, which is available on the Website.

Any information voluntarily submitted by you through the contact form or by email (including any details of your business, projects or technology stack) will be treated by us as confidential and used solely for the purpose of responding to your enquiry and, where applicable, evaluating a potential engagement. We will not disclose such information to third parties other than to our personnel and subcontractors bound by confidentiality obligations, except where disclosure is required by law.

13. Changes to the Terms

We reserve the right to modify these Terms at any time. The updated version will be posted on the Website together with the date of last update, and (where we consider the changes to be material) we will publish a notice on the main page of the Website. Your continued use of the Website after any such changes have been posted constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you should stop using the Website.

14. Governing Law and Jurisdiction

These Terms and any non-contractual obligations arising out of or in connection with them shall be governed by, and construed in accordance with, the laws of the Republic of Poland, without regard to any conflict-of-laws rules that would result in the application of the laws of another jurisdiction.

In the event of a dispute, both parties agree to attempt to resolve the matter through good-faith negotiations. If a resolution is not reached within 30 days of one party notifying the other in writing of the dispute, any legal disputes arising out of or in connection with these Terms or the use of the Website shall be subject to the exclusive jurisdiction of the courts of Poland competent for our registered office, except that we reserve the right (at our sole discretion) to bring proceedings against a User before any other court of competent jurisdiction.

15. Final Provisions

Entire agreement. These Terms (together with the Privacy Policy and Cookie Policy referred to herein) constitute the entire agreement between you and us in respect of your use of the Website and supersede all prior or contemporaneous communications and proposals (whether oral, written or electronic) relating to the subject matter hereof.

Severability. If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal or unenforceable, the remaining provisions shall remain in full force and effect, and the parties shall negotiate in good faith to replace the invalid provision with a valid provision that achieves, to the extent possible, the original commercial intent.

No waiver. Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms at any time without your consent.

Language. These Terms are drawn up in English. If we provide a translation into any other language for convenience, the English version shall prevail in the event of any inconsistency.
